Kundenschutz
Die Parteien beabsichtigen in dem oben genannten Projekt zusammenzuarbeiten. Hierbei wird der Vertragspartner als Subunternehmer der AMAS tätig und erhält in diesem Zusammenhang Kenntnis von den jeweiligen Auftraggebern bzw. Kunden der AMAS sowie den von diesen ausgelösten Aufträgen und Bestellungen. Über die Geheimhaltungsbedürftigkeit dieser Informationen hinaus, erkennt der Vertragspartner das schützenswerte Interesse der AMAS an der Aufrechterhaltung der Geschäftsbeziehung mit ihren Auftraggebern und Kunden an. Um diesen Schutz sicherzustellen, vereinbaren die Parteien Folgendes:
1. Kundenschutz
1.1 Der Vertragspartner wird mit Kunden der AMAS, von denen er im Rahmen des Projektes Kenntnis erhalten hat, für die Dauer der vertraglichen Zusammenarbeit sowie ein Jahr nach deren Beendigung nicht zur Erbringung identischer oder ähnlicher Leistungen in direkten geschäftlichen Kontakt treten und auch nicht indirekt über Dritte derartige Geschäftsverbindungen herstellen, es sei denn, der Kunde der AMAS ist bereits Kunde des Vertragspartners (Bestandskunde). Der Vertragspartner teilt AMAS in diesem Fall unverzüglich nach Kenntniserlangung mit, dass dieser Kunde bereits als Bestandskunde des Vertragspartners geführt wird.
1.2 Verstößt der Vertragspartner gegen die Kundenschutzvereinbarung, ist er für jede schuldhafte Zuwiderhandlung zur Zahlung einer von AMAS nach billigem Ermessen festzusetzenden, im Streitfall der Höhe nach vom zuständigen Gericht zu überprüfende Vertragsstrafe verpflichtet.
1.3 Die Geheimhaltungspflichten des Vertragspartners in Bezug auf Informationen zu Auftraggebern und Kunden der AMAS bleiben unberührt.
2. Gerichtsstand
Gerichtsstand für alle Streitigkeiten aus und im Zusammenhang mit dieser Vereinbarung ist Schwerin.
Customer Protection Agreement
The Parties intend to cooperate on the above-mentioned project. Within this context, the Contractual Partner will act as a subcontractor of AMAS and, in this connection, will obtain knowledge of AMAS’s respective clients and customers as well as the orders and purchase orders placed by them.
Beyond the confidential nature of this information, the Contractual Partner acknowledges AMAS’s legitimate interest in maintaining its business relationships with its clients and customers. In order to ensure this protection, the Parties agree as follows:
1. Customer Protection
1.1 The Contractual Partner shall not, for the duration of the contractual cooperation and for a period of one year after its termination, enter into direct business contact with customers of AMAS of whom it has become aware within the scope of the project for the purpose of providing identical or similar services, nor shall it establish such business relationships indirectly through third parties, unless the customer of AMAS is already a customer of the Contractual Partner (existing customer).
In such a case, the Contractual Partner shall inform AMAS without undue delay upon becoming aware that the respective customer is already an existing customer of the Contractual Partner.
1.2 In the event of a breach of this customer protection agreement, the Contractual Partner shall be obliged to pay a contractual penalty for each culpable violation. The amount shall be determined by AMAS at its reasonable discretion and, in the event of dispute, shall be subject to review by the competent court.
1.3 The Contractual Partner’s confidentiality obligations regarding information about AMAS’s clients and customers shall remain unaffected.
2. Place of Jurisdiction
The place of jurisdiction for all disputes arising from and in connection with this agreement shall be Schwerin.
